A respected law firm is seeking a highly motivated Senior Associate or Counsel-level attorney to join its Corporate and Mergers & Acquisitions (M&A) practice. The ideal candidate will have significant experience handling a broad range of corporate transactions, including private buy-side and sell-side M&A deals.
This role offers the opportunity to work on sophisticated transactions, provide strategic legal guidance to clients, and collaborate with a highly experienced corporate legal team.

Key Responsibilities
Transaction Management
Manage all phases of M&A and corporate transactions
Handle private buy-side and sell-side mergers and acquisitions
Drafting & Negotiation
Draft, review, and negotiate transaction-related documents including:
Purchase Agreements
Disclosure Schedules
Operating Agreements
Loan Documents
Commercial Contracts
Due Diligence & Advisory
Conduct legal due diligence and transaction analysis
Advise clients on transaction structuring and execution strategies
Provide strategic legal counsel on corporate governance and transactional matters
Collaboration & Management
Collaborate with senior attorneys and cross-functional teams on deal management
Manage multiple transactions and deadlines in a fast-paced environment
Required Qualifications
Juris Doctor (JD) degree from an accredited law school
Active license to practice law
Minimum 5+ years of experience in M&A and corporate transactions
Strong experience with drafting transactional documents and conducting due diligence
